AGREEMENTS · PERFORMANCE · CLAIMS

Contract &consumer law

Agree clearly.
Act with commitment.

A contract should provide a sound foundation, in everyday business and in private decisions alike. We draft and review agreements, support negotiations and represent your interests when performance is missing or claims are disputed.

Discuss your matter

Contract drafting. Consumer matters. Dispute resolution.

YOUR MATTER

One agreement.
Different positions.

Sellers and buyers, clients and contractors, and parties to private loans have different rights and obligations. We identify the relevant role and assess whether the agreement is a consumer contract or a business-to-business transaction.

Businesses & providers

We draft customer, supplier and service contracts and standard terms to suit your actual processes. For complaints, outstanding payments or contract termination, we assess your position and support the pursuit or defence of claims.

Individuals & consumers

For purchases, services or private agreements, we support you before signing and in disputes. We clarify rights and obligations, whether consumer protection rules apply, and the position on unwinding the contract, payment or repairs.

Institutions & clients

We assist institutions, self-employed professionals and project managers with procurement and cooperation. Scope of work, acceptance, remuneration and responsibilities should align. This includes reviewing contracts presented by a service provider or business partner.

OUR SERVICES

From the draft
to enforcement.

We support the entire contractual relationship. The agreed performance, actual events and legal positions of the parties are decisive, rather than the contract's title alone.

Contract drafting and review

Tailor the agreement to the specific project.

A party offering a contract needs clear services, appropriate safeguards and practical processes. A party receiving a draft needs to understand obligations, risks and possible amendments. We develop and review agreements from either client's perspective and assist in negotiating key points. German and English-language contracts and cross-border aspects are included within the agreed scope of review. Implementation and required formalities are agreed separately.

Standard terms and conditions

Set out recurring terms clearly.

We help businesses develop and revise standard terms and integrate them into ordering and contracting processes. We advise customers and business partners on which terms became part of the contract and whether individual clauses are valid. We distinguish consumer transactions from business-to-business agreements. Specifications, liability, payment and termination are tailored to the particular offering; a template alone does not replace this assessment.

Purchase contracts and defect remedies

Consider quality and consideration together.

We assist buyers with agreed characteristics, delivery, defects and possible claims. We support sellers with product descriptions, securing payment and handling complaints. We assess the quality owed, information available and how the contract was performed. Remedial performance, price reduction, rescission and damages are assessed against their respective requirements. Special rules for consumer sales and sales between private individuals are included.

Contracts for work and project services

Connect the result, acceptance and payment.

We advise clients on defining the desired result, acceptance and defects. We assist contractors with scope of work, requested changes and payment claims. We review, for example, trade, manufacturing and project contracts and assess actual performance. In disputes, we preserve the contractual basis and relevant evidence. Whether a particular result is owed is assessed against the specific agreement.

Services and digital contracts

Define cooperation and responsibilities.

We assist service providers with scope, remuneration and customers' cooperation duties. We advise clients on quality expectations, availability and ending a working relationship. This includes consultancy, maintenance and digital service contracts. For software, SaaS and platforms, we review agreed rights of use and the need for additional IT or data protection assessment. Classification as a service contract, contract for work or another type depends on its substance.

Service contract · Consultancy · SaaS · Software · Rights of use · Cooperation

Withdrawal and contract termination

Clarify exit routes and remaining obligations.

We advise consumers on possible withdrawal rights and their requirements. We help providers with information, processes and handling declarations received. For private and business contracting parties, we also assess rescission, termination and mutual cancellation. Contract type, deadlines, breaches of duty and performance to date are decisive. We negotiate return, accounting or continued use arrangements and assess possible counterclaims.

Withdrawal · Rescission · Termination · Mutual cancellation · Unwinding contracts

Claims and performance issues

Substantiate claims. Assess defences.

We help creditors prepare outstanding payment claims and other claims on a sound legal and evidential basis. We advise individuals and businesses facing claims on performance, countervailing rights and defending unjustified demands. We assess default, notices setting deadlines and the consequences of missing or defective performance. Negotiations, court enforcement and settlement options are guided by the specific objective of the engagement.

Claims · Late payment · Damages · Defences · Settlement

Private agreements and loans

Combine personal relationships with clear agreements.

We advise lenders on repayment, security and missed instalments, and borrowers on financial commitments, terms and claims made against them. We also draft or review gifts, loans for use and other private arrangements. We agree the scope and any further advice required in advance.

Private loans · Gifts · Loans for use · Repayment

WORKING TOGETHER

From your concern
to your next decision.

We first clarify whether you want to draft a contract, assess a draft presented to you or resolve an existing dispute. This determines the next steps.

  1. Clarify the agreement and concern

We discuss the contracting parties, purpose and events to date. This includes your role, desired outcome and upcoming declarations or dates.

  2. Assess the legal position and options

We evaluate the documents and discuss amendments, claims or defences. The scope of review and fees are agreed before instructions are given.

  3. Draft, negotiate or represent

We revise the draft, negotiate a solution with the other party or provide the agreed enforcement support. You decide on further steps on that basis.

QUESTIONS & ANSWERS

Initial
Guidance.

Initial guidance on contract review, consumer rights and disputes. The specific agreement and actual course of events remain decisive.

Legal information: 31 October 2026

Do you also advise the party against whom a claim is made?

Yes. We assist with both pursuing and defending contractual claims. We first clarify who is instructing us and whether conflicts of interest exist. The legal position is assessed from the perspective of the person or organisation represented.

Can every contract be withdrawn from within 14 days?

No. There is no general withdrawal right for all contracts. Certain consumer contracts, particularly distance contracts and off-premises contracts, may carry a statutory withdrawal right; exceptions apply. Providers and consumers should have the requirements, information given and start of the period checked for the specific case.

Are standard terms binding as soon as they appear in the contract?

Not every pre-drafted clause is valid. In addition to incorporation, it is necessary to assess, among other things, whether a clause unreasonably disadvantages the other party or is unclear. Requirements vary by contractual relationship and clause. We review terms for both the party using them and the other contracting party.

Can a buyer immediately demand a refund if goods are defective?

This depends on the requirements of the particular remedy. Remedial performance is often the first step for defects; rescission, price reduction and damages have their own conditions. We help buyers choose and assert remedies and sellers assess complaints and the response required.

Do you also review contracts that have already been signed?

Yes. We can assess existing obligations, individual clauses, amendments or termination options. Consent already given may affect the options available. Please therefore provide the background, later arrangements and performance exchanged to date.

Can private and English-language contracts be included?

Yes. We handle private agreements as well as commercial and English-language contracts. Where an international element is involved, we clarify applicable law, place of performance and jurisdiction for disputes. Any additional advice needed is agreed in advance.

How is the scope of a contract review defined?

We discuss whether the whole contract or particular points should be reviewed and whether drafting, negotiation or implementation is included. A free telephone conversation of around 15 minutes is available for initial guidance. Detailed review, including fees, is agreed separately.
